PLEASE READ THESE CUSTOMER TERMS OF SERVICE CAREFULLY.

Our Customer Terms of Service is a contract that governs our customers’ use of the Tegrity Connect services.

1. Agreement to Terms

These Terms and Conditions (“Agreement”) govern access to and use of the Tegrity Connect software-as-a-service platform (“Platform” or “Service”) operated by Tegrity Connect LLC, a Virginia limited liability company (“Company,” “we,” “us,” or “our”). By subscribing to, accessing, or using Tegrity Connect, you (“Customer,” “User,” or “you”) agree to be bound by this Agreement. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Tegrity Connect is a cloud-based customer relationship management (CRM) and business automation platform that may include contact and pipeline management, marketing automation, SMS/email communications, payment integrations, reporting dashboards, and third-party integrations. We reserve the right to modify, enhance, or discontinue features at our discretion.

3. Eligibility

You must be at least 18 years old, use the Platform for lawful business purposes, and provide accurate billing and account information.

4. Subscription Plans & Billing

Tegrity Connect offers monthly and annual subscription options. By subscribing to a plan, you authorize Tegrity Connect LLC to charge your payment method for recurring subscription fees and any applicable one-time charges.

4.1 Automatic Renewal

All subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. Monthly plans renew each month and annual plans renew each year. By subscribing, you authorize Tegrity Connect LLC to automatically charge the applicable subscription fee to your payment method on file for each renewal period.

4.2 Monthly Subscriptions

Monthly subscriptions are billed monthly in advance and are non-refundable. Users may cancel at any time. Cancellation prevents future billing but does not entitle the user to a partial month refund. Access remains active until the end of the current billing cycle.

4.3 Annual Subscriptions

Annual subscriptions are billed annually in advance. Users may cancel their subscription at any time. If a customer cancels an annual subscription before the end of the billing term, Tegrity Connect LLC will issue a prorated refund for unused service time, calculated based on the remaining subscription period. Refund calculations will be rounded to the nearest full month when determining the unused portion of the annual subscription. Setup fees, onboarding fees, and other one-time charges are non-refundable, even if the subscription is canceled before the end of the annual billing period.

4.4 One-Time Fees

Setup fees, deployment fees, configuration fees, custom development fees, customer support packages, training packages, and any other one-time professional service fees are non-refundable.

4.5 Failed Payments

If payment fails, Tegrity Connect LLC may suspend or terminate access, retry charges, and the user remains responsible for outstanding balances.

5. Cancellation Policy

Users may cancel through their account portal or by submitting written notice to support@tegrityconnect.com. Cancellation does not relieve payment obligations already incurred.

6. Acceptable Use

Users agree not to use the Platform for unlawful activities, spam, unauthorized messaging, violations of messaging regulations (including TCPA and CAN-SPAM), or infringing intellectual property. Users are solely responsible for regulatory compliance when sending communications to contacts through the platform.

7. Messaging Compliance

If the Platform is used to send SMS, email, or other communications, the Customer is solely responsible for compliance with all applicable messaging and privacy regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other applicable laws. Customers must obtain proper consent from recipients before sending communications. Tegrity Connect LLC is not responsible for fines, penalties, or claims arising from Customer messaging practices.

8. API, Automation, and Platform Misuse

Customers may not misuse automation tools, APIs, integrations, or workflows in a way that disrupts the platform, violates applicable laws, or harms other users. Tegrity Connect LLC reserves the right to limit or suspend accounts that abuse platform resources, send spam, or attempt to circumvent system safeguards.

9. Third-Party Integrations

Tegrity Connect may integrate with third-party services including payment processors, messaging providers, and other software platforms. Tegrity Connect LLC is not responsible for outages, service disruptions, policy changes, or account suspensions caused by third- party providers.

10. Intellectual Property

All Platform software, branding, and proprietary systems remain the exclusive property of Tegrity Connect LLC. Users are granted a limited, non-exclusive, non-transferable license during an active subscription.

11. Data Ownership

Users retain ownership of their business data. Tegrity Connect LLC may access data solely for support, maintenance, and legal compliance. Upon cancellation, data may be deleted after a reasonable retention period.

12. Disclaimer of Warranties

The Platform is provided “as is” and “as available.” Tegrity Connect LLC makes no guarantees regarding uninterrupted service, error-free operation, or business outcomes.

13. Limitation of Liability

To the maximum extent permitted under Virginia law, Tegrity Connect LLC shall not be liable for indirect or consequential damages, lost profits, loss of business, or data loss. Total liability shall not exceed fees paid in the 12 months preceding the claim.

14. Indemnification

Users agree to indemnify and hold harmless Tegrity Connect LLC from claims arising from misuse of the Platform, regulatory violations, messaging violations, customer disputes, or illegal activities conducted through the platform.

15. Termination

Tegrity Connect LLC reserves the right to suspend or terminate accounts for breach of terms, fraudulent activity, illegal use, nonpayment, or behavior that puts the platform or its providers at risk.

16. Modifications to Terms

Tegrity Connect LLC may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of revised terms.

17. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the Commonwealth of Virginia. Any disputes shall be resolved in courts located in Virginia.
